Tytus Cytowski is the founder and managing partner in the New York office of Cytowski LLC. He represents clients at all stages of their life cycle, from incorporation to exit, with an emphasis on working with cross-border founders and entrepreneurs establishing their ventures in US, including international tax and E-1/E-2 visa applications for founders. He has worked closely with technology companies in seed, angel and VC financings and mergers and acquisitions. He represented Poland-based Polidea Sp. z o. o. in a sale of its subsidiary Apphance sp. z o. o. to Boston-based Utest Inc. in a seven figure deal consisting of cash and Utest equity for Polidea.

Tytus Cytowski has law degree from Harvard Law School (LLM 05) and is member f the New York State bar and is admitted to practice in Poland.

Seminar will cover essential legal issues that startups face in the incorporation, including corporate formation, fundraising documentation and founders’ stock. We will explore where to incorporate in the United States (Delaware v. Nevada v. Wyoming) and what entities are available to founders (LLC v. C-Corp v. S-Corp) and potential pitfalls for international founders. Focus will be given on key legal documents necessary to successfully establish a tech start up and become the next hot tech start up.

Topic of Presentation: Investor Visas For Tech and Start up Founders

Seminar will cover how non-US founders can obtain legal entry into the US based on treaty (E-1) or investor (E-2) visa. Aim of the seminar is to provide founders from CEE a road map on how to legally conduct their business in the US and achieve success.
